1. Scope

These terms govern your use of imsasearch.com and the handling of enquiries made through it. Any purchase, sale, acquisition mandate, review or custody engagement is governed by its own written agreement, which takes precedence over these terms where they differ.

2. What the site is

The site describes the services of Imsa Search and lists representative domain names from its portfolio. Nothing on the site is an offer capable of acceptance. A quotation becomes binding only when a purchase agreement is signed by both parties. Listings may be withdrawn, and names may be sold, without notice.

3. Enquiries and quotations

An enquiry commits neither party to anything. A quotation is valid for the period stated in it, or thirty days if none is stated. Where two prospective buyers want the same name, the first to sign a purchase agreement and fund escrow acquires it, regardless of the order in which enquiries were received.

4. Settlement

Every transfer settles through a licensed escrow agent, by default Escrow.com, or through another licensed provider that both parties can verify independently. Imsa Search does not accept buyer funds directly and will not settle through an unregulated intermediary. The buyer inspects the domain before funds are released, and only the buyer can approve release.

5. Warranties

On a sale from its portfolio Imsa Search warrants in the purchase agreement that it is the registrant of record and that the name is free of liens, disputes, holds and third-party claims known to it. Beyond that warranty, and except as stated in a signed agreement, the site and its content are provided as they are, without warranty of any kind.

6. Not legal, tax or investment advice

The notes, document outlines and other material on this site are general information. They are not legal, tax or investment advice and should not be relied on as such. Have your own counsel review any agreement before you sign it.

7. Confidentiality

Imsa Search treats the content of every enquiry as confidential whether or not a non-disclosure agreement has been signed. The privacy notice describes what is kept and for how long.

8. Intellectual property

The text, design and marks on this site belong to Imsa Search. You may quote short passages with attribution. Domain names listed on the site are the property of Imsa Search until transferred under a signed agreement.

9. Limitation of liability

To the fullest extent permitted by law, Imsa Search is not liable for any indirect or consequential loss arising from use of this site. Liability under any engagement is as set out in the agreement for that engagement.

10. Governing law

These terms are governed by the laws of the State of Illinois. The state and federal courts sitting in Cook County, Illinois have exclusive jurisdiction over any dispute arising from them.
